Welcome to Paraito. These Terms of Service and Privacy Policy (collectively, the "Terms") constitute a binding legal agreement between Paraito Inc. "Paraito," "we," "us," or "our" and the entity or individual ("Client," "User," or "you") accessing or using Paraito's website, AI-driven spend management platform, organizational analytics modules, and related services (the "Service").
BY LOGGING IN, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST CEASE USE IMMEDIATELY.
Subject to your compliance with these Terms and payment of applicable fees, Paraito grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business strategic planning.
You shall not, and shall not permit any third party to:
(a) Reverse engineer, decompile, or attempt to discover the source code or underlying algorithms of the Service;
(b) Access the Service to build a competitive product or service;
(c) Resell, sub-license, or commercialize the Service;
(d) Share login credentials with unauthorized individuals;
(e) Use any robot, spider, or automated AI agent to access the Service without express permission;
(f) Immediate Suspension. Paraito reserves the right to immediately suspend your access to the Service, without prior notice or liability, if Paraito, in its sole discretion, determines that:
(i) Security & Integrity: Your account usage patterns suggest automated scraping, unauthorized account sharing, or any activity that threatens the security, availability, or integrity of the Service;
(ii) Competitor Status: You differ from the entity originally signed or have been acquired by, merged with, or have otherwise become a direct competitor to Paraito; or
(iii) Financial Risk: You have ceased ordinary business operations, made an assignment for the benefit of creditors, or become the subject of any bankruptcy, insolvency, or liquidation proceeding.
(g) Fair Use & Usage Limits. Paraito reserves the right to monitor usage patterns and may, in its sole discretion, impose limits on the volume of data processed or the frequency of Service access ("Usage Limits"). If your usage exceeds reasonable industry standards or threatens the performance/integrity of the Service, Paraito may throttle your access or require an upgrade to a higher-tier plan.
(h) No Harvesting. You shall not use any manual or automated software, devices, or other processes to "scrape," "crawl," or "spider" any portion of the Service for the purpose of creating a local database of Paraito's benchmarks, pricing models, or Generated Insights.
During the Term and for a period of one (1) year thereafter, Paraito (or its authorized representative) shall have the right, upon at least ten (10) days' prior written notice, to audit Client's use of the Service to ensure compliance with these Terms. Client shall provide reasonable cooperation and access to records, logs, and personnel as necessary to conduct the audit. If an audit reveals that Client has exceeded the Usage Limits, shared credentials in violation of Section 1.2(d), or otherwise breached these Terms, Client shall: (a) promptly pay Paraito any underpaid fees based on actual usage at Paraito's then-current rates; and (b) reimburse Paraito for all reasonable costs associated with the audit.
Paraito retains all rights, title, and interest in and to the Service, its UI/UX, normalization algorithms, logic, and any "Generated Insights" (benchmarks, charts, reports) produced by the Service.
You retain ownership of the raw financial and spend data you upload ("User Data"). You grant Paraito a worldwide, royalty-free license to host, copy, and display User Data within your isolated tenant solely to provide the Service to you.
You acknowledge that Paraito's value proposition relies on the continuous improvement of its AI models. You hereby grant Paraito a perpetual, irrevocable, worldwide, royalty-free license to use, copy, and process User Data to create "Aggregated Statistics."
Any corrections, modifications, or annotations Client makes within the Service shall be deemed "Feedback" and actively assigned to Paraito. Paraito may use such corrections to recalibrate its general models globally.
Access is subject to fees set forth on our pricing page or Order Form. All fees are non-refundable. You are responsible for all applicable taxes.
Upon each renewal anniversary, the Fees shall automatically increase by the greater of (a) eight percent (8%); or (b) the CPI + 2%, without requirement of further notice. This increase ensures Paraito can continue investing in infrastructure and AI model improvements.
Paraito may terminate your account for breach (including non-payment). You may terminate via account settings; no refunds are issued for prepaid periods. Upon termination, Paraito shall have no obligation to maintain or provide any User Data and may, at its option, delete all User Data in its systems. Except as expressly provided in an Order Form, Paraito has no obligation to provide User Data in any specific format or to provide "bulk export" services. Any data retrieval assistance requested by Client after termination is at Paraito's sole discretion and subject to additional professional service fees.
Upon termination, Paraito shall, within sixty (60) days, delete the Client's raw User Data from its production systems. Notwithstanding the foregoing, Paraito shall retain all rights to Aggregated Statistics (as defined in Section 2.3) and any AI model improvements, weights, or parameters derived from User Data prior to its deletion. Such derivative insights are the sole property of Paraito and are not subject to deletion.
Any fees not paid when due shall bear interest at the rate of one and one-half percent (1.5%) per month or the maximum rate permitted by law, whichever is less. In the event of a payment default, Client shall be responsible for all reasonable costs of collection, including but not limited to court costs, filing fees, and reasonable attorneys' fees incurred by Paraito.
In addition to any other termination rights herein, Paraito may terminate these Terms and your access to the Service for any reason (or no reason) upon thirty (30) days' written notice to you. In the event of such termination, Paraito's sole liability shall be to provide a pro-rata refund of any prepaid, unused fees for the remainder of the then-current Term.
Paraito employs commercially reasonable measures (e.g., Tenant Isolation) to keep User Data logically separate.
The Service is for B2B strategic data only. You warrant that you will NOT upload data you do not have the legal right to share. For Workforce Analytics, Paraito processes data solely as a Service Provider/Processor. Client warrants that it has provided all necessary notices and obtained all necessary consents required by employment and privacy laws to upload such organizational data.
You are solely responsible for the legality of User Data. Paraito bears no liability for your violation of privacy laws or securities regulations caused by uploading prohibited data.
During the Term, Client shall maintain, at its own expense, insurance coverage adequate to cover its liabilities under these Terms, including but not limited to: (a) Commercial General Liability; and (b) Cyber Liability/Data Breach insurance. Upon request, Client shall provide Paraito with a certificate of insurance. The existence of insurance does not limit Client's indemnification obligations under Section 8. Client's insurance shall be primary and non-contributory to any insurance maintained by Paraito.
Unless you opt-out, you grant Paraito a non-exclusive, royalty-free license to use your company name and logo on our website, investor presentations, press releases, and general marketing materials to identify you as a customer.
You may revoke this consent at any time by emailing info@paraito.io. Paraito shall not be required to recall or destroy marketing materials created prior to the revocation of consent.
The Service provides estimates. It is NOT financial, legal, or tax advice. Client acknowledges that Workforce Analytics are for high-level organizational planning only. Paraito does not provide HR, legal, or employment advice. Any personnel decisions, including but not limited to hiring, terminations, or compensation changes, are the sole responsibility of the Client. The Service, including the Opportunity Engine and Financial Tracking modules, provides mathematical projections and automated classifications based on historical data. These are estimates of future possibilities, not guarantees of financial outcomes or actual savings.
AI systems are probabilistic and may produce inaccurate or "hallucinated" results. Paraito does not guarantee the accuracy of AI-generated insights. You are responsible for verifying results before reliance. You acknowledge that Generated Insights may be based on third-party data sources. Paraito does not verify the accuracy of such external data and provides no warranty that benchmarks reflect actual market pricing or conditions. The Service is a tool for strategic estimation; you are solely responsible for all business decisions made based on its output.
THE SERVICE IS PROVIDED "AS IS." PARAITO DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Paraito shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, or outages/limitations caused by third-party infrastructure or AI model providers (e.g., AWS, Google Gemini, Anthropic). Paraito is not responsible for the data retention policies or security breaches of third-party LLM providers (e.g., Google Gemini) once data is transmitted via API.
Paraito is not liable for lost profits, anticipated savings loss, data loss, or indirect damages.
PARAITO'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO PARAITO DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify Paraito from claims arising out of: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of third-party rights (e.g., IP or privacy).
You agree to defend, indemnify, and hold harmless Paraito from and against any claims, losses, or damages (including legal fees) arising out of or related to your (or any third party's) reliance on Generated Insights, benchmarks, or AI-generated estimates. You acknowledge that the Service is a strategic aid and not a substitute for independent professional verification of financial data.
During the Term of this Agreement and for a period of twelve (12) months thereafter, you shall not, directly or indirectly, solicit, recruit, induce, hire, or engage as an independent contractor any employee or consultant of Paraito with whom you interacted for the purposes of the Service.
You acknowledge that Paraito invests significant resources in training its personnel. If you breach this Section, you agree to pay Paraito an amount equal to one hundred percent (100%) of the solicited individual's annualized compensation (including base salary and target bonus) as liquidated damages, not as a penalty. This fee compensates Paraito for the costs of replacing such personnel and the disruption to business operations.
Exception: This restriction shall not apply to general solicitations (e.g., job postings on public boards) not specifically targeted at Paraito employees.
Disputes shall be resolved by binding arbitration in Delaware under AAA rules.
Claims must be brought in an individual capacity, not as a plaintiff or class member.
These Terms are governed by the laws of the State of Delaware.
Paraito reserves the right to update these Terms at any time. We will notify you by posting the revised version on our website or via email. Your continued use of the Service after such changes constitutes your binding acceptance of the updated Terms. For material changes, we will provide in-app notifications or email notice.
The following sections shall survive any expiration or termination of these Terms: Section 2 (Intellectual Property & Data Rights), Section 3.4 (Late Payments), Section 6 (Disclaimers & Warranty), Section 7 (Limitation of Liability), Section 8 (Indemnification), Section 9 (Non-Solicitation), Section 10 (Dispute Resolution), and Section 11 (Governing Law).
We do not sell your personal data. We share data only with trusted Sub-Processors (e.g., AWS, Stripe) necessary to operate the Service, under strict confidentiality agreements.
We utilize enterprise-grade encryption (AES-256 at rest, TLS 1.2+ in transit). No transmission over the Internet is 100% secure.
You may have rights regarding your Account Information (name, email), including:
Please note that while we will delete your Personal Account Information upon request, this right does not extend to Aggregated Statistics or trained AI model weights. Because these outputs are derived and fully de-identified, they do not constitute "Personal Data" and cannot be individualistically extracted or deleted without destroying the integrity of the collective AI model.
